General terms and conditions of use and sale of NanoMesureFrance

By accepting the present terms and conditions of the NanoMesureFrance association, you fully and unreservedly accept the association's articles of association and its internal regulations.

Internal regulations of the NANOMESUREFrance association

Preamble

The present internal regulations are the internal regulations of the following association, governed by the law of July 1, 1901 and the decree of August 16, 1901:

NANOMESUREFRANCE

It is intended to supplement the association's bylaws and to set out the various points that are not specified, in particular those relating to the association's internal administration.

The present internal regulations are sent to all members of the association, as well as to each new member. They apply to all members, and are appended to the association's articles of association.

The provisions of these by-laws must be interpreted in the light of the association's articles of association. In the event of ambiguity or contradiction, the articles of association take precedence over the internal regulations.

 

TITLE I - ASSOCIATION MEMBERS

Article 1 - MEMBERSHIP OF NEW MEMBERS

The association may welcome new members at any time.

Membership is free and open to all applicants. To become a member of the association, applicants must submit their membership application in writing to the following address secretariat@nanomesurefrance.fr. The applicant must then complete the membership form submitted by the association's secretariat, and read the articles of association and the present internal regulations.

Once the membership form has been completed, the association's secretariat checks the validity of the applicant's application (cf. Article 7 of the association's articles of association) and, if positive, the applicant is required to pay the prescribed membership fee (cf. Article 2). All applicants must fully and unreservedly accept the association's articles of association and the present by-laws, on the basis of a dated and signed certificate. Membership becomes effective on the date of receipt of payment of the membership fee, as recorded by the association's secretariat.

If membership is refused, the association will give the reasons for the refusal.

Article 2 - CONTRIBUTIONS

New members are required to pay a membership fee, the amounts of which are set out in Table 1 and may be revised each year at the association's Annual General Meeting.

Membership fees apply to all members in the categories specified in a summary table available on request from the association's secretariat.

Membership fees apply to members joining on January 1st of the current year. For new members joining during the course of the year, the membership fee is calculated on a monthly pro rata basis for the remaining period of the year n (membership month due in full, regardless of the date of joining). The contribution for year n+1 is then due on January 1, and covers the full contribution.

All fees paid to the association are definitively acquired. No refund will be made for any reason whatsoever during the year.

This fee must then be paid by members every year, on January 1st, to reiterate their membership of the association.

Each member is notified on October 1st of year n of the need to renew his or her subscription for year n+1. If the membership fee has not been paid, a reminder will be sent to the member in accordance with Article 8 of the association's articles of association. If, at the end of the period allowed, the member has still not paid his/her membership fee, he/she will be automatically struck off the association.

Article 3 - RIGHTS AND DUTIES OF ASSOCIATION MEMBERS

Members may take part in all meetings and activities proposed by the association, within the limits, where applicable, of the benefits inherent in their membership fee (see Table 1). They may take part in the association's activities and projects in accordance with the terms set out in the association's by-laws. They undertake to respect the association's by-laws and internal regulations, as well as the premises and any equipment provided by the association.

Members undertake not to cause moral or material prejudice to the association and/or other members. They undertake not to harm others through inappropriate comments or behavior.

Members have the right and duty to attend or be represented at the association's General Meetings, with voting rights for members who have paid into a Standard, Advantage or Pilote package.

ARTICLE 4 - DISCIPLINARY PROCEDURES

  1. Warning

Members of the association are required to comply with the articles of association and the present internal regulations. If they fail to do so, and when circumstances so require, the association may issue a warning to any member who fails to comply with the established rules, or whose attitude is prejudicial to the association, or who refuses to pay his or her membership fee, without this list being exhaustive.

This warning may be issued by the association's executive committee, after hearing the explanations of the member against whom the warning procedure has been initiated.

Members who receive two warnings are subject to exclusion, either temporarily or permanently, as described below.

  1. Exclusion from the association

In accordance with the articles of association, a member of the association may be expelled for the following reasons, this list not being exhaustive:

  • Non-payment of dues ;
  • Disparaging remarks about other association members;
  • Behavior that does not comply with the association's ethics and values;
  • Non-compliance with competition rules ;
  • Non-compliance with the association's articles of association and by-laws.

This exclusion may be pronounced by the Board after the member against whom exclusion proceedings have been initiated has given evidence.

ARTICLE 5 - LOSS OF ASSOCIATION MEMBERSHIP

In cases other than those resulting from disciplinary sanctions as described above, association members also lose their membership in the event of resignation, death or disappearance.

A member may resign from the association by sending a freely-written registered letter to the president of the association. The resigning member is then removed from the association's membership list, and is no longer liable for future membership fees. No refund of membership fees is due to the resigning member. Resigning members may renew their membership at any time.

TITLE II - MISCELLANEOUS PROVISIONS

ARTICLE 6 - ETHICS AND GOOD MANNERS

All the association's activities must be carried out in a spirit of openness, volunteerism, tolerance and respect.

Furthermore, no mention may be made of religion, politics or discrimination of any kind. Members undertake to remain moderate, conscientious, calm and neutral on political, philosophical or religious grounds, and not to make public their preferences, beliefs or ideals.

ARTICLE 7 - CONFIDENTIALITY

All discussions, reflections and activities carried out within the association are strictly confidential. The communication of information (without being exhaustive: contact details, projects, meeting minutes) must be the subject of a written request for authorization to distribute from the members concerned or involved.

ARTICLE 8 - PROCESSING OF PERSONAL DATA

As part of the Association's activities, the Association and its members undertake to comply with the Regulations in force applicable to the processing of personal data and, in particular, Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016, known as the "RGPD". The NanoMesureFrance Association undertakes not to use information on its members for any purpose other than its own activities, to limit access to its information to members of the Association's office only.

In accordance with the RGPD, the data subject, i.e. whose personal data is processed as part of the Association's activities, has the right to access, rectify and delete data concerning him or her, as well as the rights to limit and object to the processing and portability of his or her data. These rights may be exercised by sending an e-mail to the Association's secretariat at " secretariat@nanomesurefrance.fr ". The Association shall respond to the person who has exercised his or her rights referred to above within one (1) month of receipt of the request. However, this period may be extended by two (2) months, depending on the complexity and number of requests.

The data subject also has the right to appeal to the Commission Nationale de l'Informatique et des Libertés (CNIL) in the event of a breach of the regulations applicable to the protection of personal data.

ARTICLE 9 - COMPETITION LAW

Association members undertake to comply strictly with obligations relating to competition rules.

Within this framework, members shall refrain from any discussion, activity or behavior that might constitute a violation of any applicable competition law rule, on their part or on the part of any other current or potential member. By way of example, members will not discuss, communicate and/or exchange commercially sensitive information, including information relating to supplier-manufacturer relationships, prices, marketing or advertising strategy, costs, revenues and trading conditions.

ARTICLE 10 - ADOPTION, AMENDMENT AND PUBLICATION OF THE INTERNAL REGULATIONS

The present internal regulations are drawn up in accordance with the association's articles of association, and are ratified by the association's executive committee.

On the proposal of the association's members or officers, they may be amended at the Annual General Meeting, after ratification in accordance with the procedures set out in the association's articles of association. Once modified, a copy of the present by-laws will be sent to all members within thirty (30) days of the modification.

The present by-laws may be easily modified, provided that such modifications do not alter or call into question the founding principles and rules laid down in the association's by-laws.
